IWFFA RELEASE AND ASSIGNMENT

To Whom It May Concern:

I, the undersigned, have agreed to play in a tournament or clinic during 2006 / sanctioned by the International Women’s Flag Football Association and appear in a video/or photos produced by the International Women's Flag Football Association and its assigns and licensees, in any manner in any media either alone or in conjunction with any other material. In consideration for potentially allowing my appearance on any future productions or events, and for other good and valuable consideration, I hereby agree as follows:

1. I understand that the International Women's Flag Football Association, or any of their officers, employees, licensees, assigns, agents or affiliates may use all or portions of the Program (as it may be renamed, edited or rerecorded) in the future, in any media including but not limited to television, live pay per view broadcasts, video programs , magazines, calendars etc., live or in the form of a rebroadcast, in a recording for commercial sale and distribution in whole or in part, or as a tie in with another product or in any promotional capacity determined by International Women's Flag Football Association, or for any other purposes. I hereby assign to International Women's Flag Football Association its officers, employees, agents or affiliates, successors, licensees and assigns whatever rights or interest I have or ever may have in the Program by virtue of my appearance thereon or for any other reason, including but not limited to any rights that I may have to any proceeds arising out of the production, sale, distribution or other use of the Program.

2. I hereby release, indemnify, and hold harmless International Women's Flag Football Association, and all their respective officers, directors, shareholders, agents, employees, representatives, licensees, and assigns from any and all claims, demands, causes of action, losses, expenses, costs (including legal fees) and liabilities of any nature whatsoever which I have or incur, or hereafter may have or incur against any of them for the acts or statements on the Program. This release and indemnification includes, but is not limited to, any claim of copyright or any other intellectual property rights, invasion of privacy or right to publicity, which may arise out of or in connection with my appearance on the Program or as a result of the rebroadcast or other distribution of the Program or any portion thereof, for any purpose whatsoever. I understand that my name, likeness and performance may appear in a broadcast and/or video. I hereby acknowledge my permission for the use of my name, likeness, and performance in connection therewith and waive any claims against the International Women's Flag Football Association, and their respective licensees and assigns, arising from such use.

3. I hereby consent to use of my name, likeness, portrait, recorded voice, statements (whether oral or written), acts and/or biographical material by the International Women's Flag Football Association and all their respective officers, employees, agents, licensees, assigns or affiliates in connection with the Program or any part thereof for any and all purposes, including but not limited to broadcasting, direct exhibition, live TV or pay per view broadcasts, video, audio, publishing, or promotional, and ancillary purposes. I further understand that nothing shall require you to include me in the Program or to broadcast or release the Program or any part thereof.

4. To release, indemnify and hold harmless International Women's Flag Football Association and their parent and affiliated corporations, if any and their respective officers, directors, licensees, shareholders, agents, employees, representatives, heirs, successors and assigns (together "Releasees") from and against any and all manner of rights, claims, demands, causes of action, losses, expenses, costs (including but not limited to legal fees and expenses) and liabilities of any nature whosoever including but not limited to personal injury or death, which I or any member of my family may incur or have against any Releasee arising out of or in connection with my participation in the Event and Program, including but not limited to any Releasee's use of any of my acts or statements during or in any way connected to the Event and Program, which Releasees may use as they see fit without any restriction whatsoever.
